1. Who we are and these terms
These Terms of Service (“Terms”) are an agreement between you and DW Alliance LLC, a Nevada limited liability company (“DW Alliance,” “we,” “us”), with its mailing address at 4240 Wailea Pl, Princeville, HI 96722. They cover your use of dwalliance.com, app.dwalliance.com, our nameservers, and the hosting, files, CRM, notes, domain, and DNS features we provide (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service for a business, you agree for that business and confirm you can do so.
2. Your account
You must give a working email address and be at least 18 years old (or the age of majority where you live). Your brand code, confirmation codes, and session ids are sent to that email. Keep them private. You are responsible for activity on your account and for anyone you share your codes with, including an AI assistant or other software acting for you. Tell us right away at support@dwalliance.com if you think your account has been misused.
3. Plans
Free plan. The free plan has no charge and no end date. It includes your website on your own domain with HTTPS, DNS, and the basic CRM (people, companies, relationships, and notes), 50 MB of storage, and about 2,000 views per day (see Fair usage), as listed on our Pricing page. We may change free features with reasonable notice.
“Made with DW Alliance” badge. Sites on the Free plan show a small “Made with DW Alliance” badge that links to dwalliance.com. The badge link is marked “nofollow,” so search engines do not treat it as an endorsement from your site. The badge appears in the footer area at the bottom of your pages, after your content; it does not float over, cover, or pop up on your content. You agree not to hide, remove, or alter the badge while you are on the Free plan. To remove it, move to No Banner or Basic. We place the badge automatically; you do not need to add it.
No Banner. No Banner is a paid subscription at the price shown on our Pricing page when you subscribe (currently US$5 per month, or US$50 per year). It includes everything in Free, without the “Made with DW Alliance” badge. Its storage (50 MB) and fair-usage amount (about 2,000 views per day) are the same as Free. Add-ons are not available on No Banner.
Basic. Basic is a paid subscription at the price shown on our Pricing page when you subscribe (currently US$10 per month, or US$100 per year). It includes everything in No Banner, so no badge, plus more storage (5 GB), a larger fair-usage amount of about 10,000 views per day (see Fair usage), and priority support, meaning we answer Basic customers’ support requests ahead of Free and No Banner requests. We do not promise a specific response time on any plan.
Storage. The Free and No Banner plans include 50 MB of storage and Basic includes 5 GB. Each uploaded file can be up to about 10 MB. Storage is measured across all the files on your account, and file history and earlier versions of your files count toward your storage. If an upload would take you over your limit, we will refuse that upload with a clear message, and you can delete files or move to a plan with more storage. If you move from Basic to No Banner or Free while using more than 50 MB, nothing is deleted, but new uploads are paused until you are under the limit. The same applies if a paid plan ends and your account returns to Free.
Extra storage. On Basic, you can add storage beyond 5 GB for US$0.50 per GB per month, in whole GB. It is billed monthly through PayPal, on top of your Basic subscription. If you pay for Basic yearly, extra storage is still billed monthly, separately from your yearly payment. Your extra storage is measured as your average daily storage use during the billing month, and rounded up to the next whole GB. File history and earlier versions count, as described above. We will show your usage before you are billed, and you can lower it by deleting files. Extra storage, like all add-ons, is available on Basic only, not on the Free or No Banner plans.
Add-ons. All upgrades and add-ons, including extra storage (US$0.50 per GB per month) and extra views (US$2 per block of 100,000 views, see Fair usage), are available on Basic only, not on the Free or No Banner plans. Very large sites can contact us at support@dwalliance.com for a custom quote. Add-ons such as an online store, webhooks, invoicing, and email newsletters may be offered later, with their prices and any extra terms shown before you add them.
4. Fair usage
Our plans are built for the typical traffic of a small or family business.
What a view is. A “view” is each delivery of a file larger than 100 KB (102,400 bytes) from your site to a visitor, such as a large photo, video, or PDF. Smaller files, including your pages, styles, icons, and small images, do not count as views.
Fair-usage amount. Each plan includes a fair-usage amount of views, averaged over a calendar month, across the sites on your account:
- Free: about 2,000 views per day, averaged over the month.
- No Banner: about 2,000 views per day, averaged over the month, the same as Free.
- Basic: about 10,000 views per day, averaged over the month, plus priority support.
Traffic we identify as automated or abusive may not count toward your usage.
If your monthly average goes over your plan’s amount:
- We tell you. We will email the account address with your usage and give you at least 14 days to respond.
- Free and No Banner sites: we ask you to upgrade. If a Free or No Banner site goes over about 2,000 views per day averaged over the month, we will ask you to move to Basic, which includes a larger amount. Extra views are available on Basic only.
- Basic sites: we ask you to buy extra views. If a Basic site goes over about 10,000 views per day averaged over the month, extra views are sold in blocks of 100,000 views for US$2 per block. Blocks are prepaid: you buy them ahead, as one-time payments through PayPal, and they count toward the calendar month in which you buy them. Unused views do not carry over to the next month. We never bill extra views after the fact.
We will work with you on timing, and we will not delete your content because of fair-usage overages. To protect network capacity for all customers, DW Alliance may limit how many extra-view blocks a single site can buy in a month; above that, we will offer a custom quote. Very large sites can contact us at support@dwalliance.com for a custom quote at any time.
Last resort, for abuse or harm only. If traffic to or from your site is abusive (for example, an attack, a runaway program, or traffic meant to overload the Service) or is harming the Service or other customers, we may limit or pause the affected traffic for as long as needed to protect them, and we will tell you as soon as we reasonably can. We will not use this step simply because a site is popular.
5. Billing, PayPal, and automatic renewal
Paid plans are billed in advance through PayPal Subscriptions, monthly or yearly, as you choose. Your use of PayPal is also governed by PayPal’s own terms. Prices are in US dollars. We do not currently add sales tax or other taxes to our prices. If we are required to collect a tax in the future, we will tell you by email before it applies and show it before you pay.
Your subscription renews automatically at the end of each monthly or yearly period, at the then-current price, until you cancel. We will give you at least 30 days’ notice by email before any price increase takes effect on your renewal. If a payment fails, we will email you and PayPal may retry it. You keep your paid plan for a 7-day grace period. If the payment still has not gone through after 7 days, your account returns to the Free plan: the “Made with DW Alliance” badge returns, add-ons stop, and new uploads over the Free storage limit are paused. Nothing is deleted, and you can subscribe again at any time.
6. Cancellation
You can cancel anytime from your PayPal account (Settings → Payments → Automatic payments) or by emailing support@dwalliance.com from the email address on your account. We will confirm your cancellation by email. Cancellation stops the next renewal. Your paid features stay active until the end of the period you already paid for, and then your account returns to the free plan, and the “Made with DW Alliance” badge returns to your site.
Changing plans. You can move between No Banner and Basic, or between monthly and yearly billing. We do not prorate plan changes. If you upgrade from No Banner to Basic, you get Basic’s limits right away, and the Basic price starts at your next billing date. Downgrades, and switches between monthly and yearly billing, take effect at your next billing date. There are no partial refunds or credits for plan changes.
7. Refunds
Yearly plans. If you pay for a year, you can ask for a refund of that payment within 30 days of the date you were charged. After 30 days, yearly payments are not refundable.
Monthly plans. If you pay monthly, you can ask for a refund of a monthly charge only during the same billing month in which you were charged. Once that billing month has ended, the charge is not refundable.
Add-ons. Prepaid extra-view blocks and monthly extra-storage charges follow the monthly rule: you can ask for a refund only during the same calendar month in which you were charged.
To ask for a refund, email support@dwalliance.com from the email address on your account. Where the law where you live gives you a right to a refund or to withdraw, nothing in these Terms limits that right.
8. Acceptable use
You may not use the Service to:
- break any law, or infringe anyone’s copyright, trademark, privacy, or other rights;
- host malware, phishing pages, or content meant to deceive or defraud;
- send spam or unsolicited bulk email, or use our DNS or domains to support it;
- host pornography or other sexually explicit content;
- host anything that sexualizes, exploits, or endangers children (we report child sexual abuse material to the authorities);
- sell, promote, or help others obtain illegal drugs, or otherwise facilitate drug sales that are illegal;
- host hate content: content that attacks, demeans, or calls for discrimination against people because of race, ethnicity, national origin, religion or belief, sex, gender identity, sexual orientation, disability, or similar traits;
- threaten, glorify, or incite violence, or harass or threaten anyone;
- promote, recruit for, fund, or act on behalf of any group, or run any site, that persecutes, or advocates harm or discrimination against, women, children, gay or LGBTQ people, or people of other beliefs. We judge this by what a site actually publishes or does, not by the religion, beliefs, or identity of the people behind it. This includes, without limitation, white supremacist groups, neo-Nazi groups, and similar hate groups;
- probe, scan, overload, or try to break the security of the Service or other customers’ accounts;
- resell the Service, or use it mainly as a file-storage or content-delivery network for other services, without our written permission;
- try to get around plan limits, rights checks, or protected platform names.
We decide in good faith whether content or an account breaks these rules. We may remove content or suspend or end an account that does. For most problems we will tell you first and give you a chance to fix them. For the content and groups described above, or anything illegal or dangerous, we may act right away and without a refund.
9. Your content and data
You keep ownership of the websites, files, customer records, notes, and other content you put into the Service. You give us permission to store, copy, and serve that content only as needed to run the Service for you. You are responsible for having the rights to your content and for following privacy laws that apply to the customer information you keep. We use personal information only to run the Service, send you account and billing emails, keep the Service secure, and meet legal requirements. We do not sell personal information. A full Privacy Policy will be posted on dwalliance.com, and these Terms will link to it. Please keep your own copies of important content; you can download your files through the Service at any time.
10. Domains and DNS
You may claim only domains you own or control. Claiming a domain in the Service does not register it; registration stays with your registrar. Some platform names and records are protected and cannot be changed. If you leave, we will keep serving your DNS records for a reasonable period so you can move them.
11. Changes to the Service and these Terms
We may improve, change, or retire features. We may update these Terms; if a change is material, we will email you at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms. If you do not agree, you may cancel before the change takes effect.
12. Suspension and termination
You may close your account at any time by emailing us. We may suspend or end your account if you seriously or repeatedly break these Terms, if required by law, or if your account has been inactive and unpaid for a long period after notice. Where we end the Service for reasons that are not your fault, we will refund any prepaid fees for the unused period.
13. Disclaimers
We work hard to keep the Service running, but it is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not promise the Service will be uninterrupted or error-free.
14. Limitation of liability
To the fullest extent the law allows, DW Alliance will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or US$50. Some places do not allow these limits, so they may not fully apply to you.
15. Indemnity
If you use the Service for a business, you agree to cover our reasonable costs from third-party claims arising from your content or your breach of these Terms.
16. Governing law and disputes
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law rules. You and DW Alliance agree that any dispute will be resolved exclusively in the courts located in Carson City, Nevada, and both consent to those courts’ jurisdiction, unless the law where you live requires otherwise.
Try to resolve it with us first. Before starting a formal claim, please email support@dwalliance.com or write to us at the mailing address below, describing the problem and what you want. We will try in good faith to resolve it within 30 days. Small claims. Either of us may bring an individual claim in a small-claims court that has jurisdiction instead. These Terms do not require arbitration.
